These terms of use are entered into by and between you and Adax LLC d/b/a Amaano ("Amaano", "we" or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms of Use"), govern your access to and use of the website operated by Amaano found at https://amaano.com/, and the mobile application(s) operated by Amaano (“App(s)â€), including any content, functionality and services offered on or through such website, or App (collectively, the "Website"), whether as a guest or a registered user.Please read the Terms of Use carefully before you start to use the Website.

By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference.

If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access the Website and you must uninstall all Apps immediately. No one under the age of 13 may use or provide any information to or on the Website. This Website is intended for those who are 18 years of age or older, and primarily for those that reside in the United States or any of its territories or possessions. By using this Website, you represent and warrant that you are of legal age to form a binding contract with Amaano and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Website. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

About Amaano Services

Amaano offers digital wallets that lives on your device. We make it easy for our users to Track, Store and Transfer digital assets in a secure and convenient way. At no time shall Amaano transfer or receive digital currency on your behalf, nor can Amaano access your digital currency. As a digital wallet provider, Amaano’s services enable you to interface with the Bitcoin network to view and transmit information.

Creating an Amaano Account

In order to obtain an Amaano Wallet, you must first register for an account with Amaano (“Amaano Accountâ€). In order to register for an Amaano Account, you must provide your name, e-mail address, password and affirm your acceptance of the terms of these Terms of Use. Amaano may, in its sole discretion, refuse to allow you to establish an Amaano Account, or limit the number of Amaano Accounts that a single person may establish and maintain at any given time.

Buying and Selling Bitcoin

You may buy Bitcoins for cash at any authorized teller (“Amaano Tellerâ€) that is willing to sell you Bitcoin. You may also sell your Bitcoins at any Amaano Teller and receive cash in return. Bitcoins are transferred in and out of your Amaano Wallet at the time of your purchase or sale. Amaano Tellers reserve the right to refuse any order that you place. Amaano Tellers may also, in their sole discretion, limit or cancel the quantities purchased or sold per person, or per order.

Accessing the Website and Account Security

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users.

You are responsible for:

  • Making all arrangements necessary for you to have access to the Website.
  • Ensuring that all persons who access the Website through your internet connection or your mobile device are aware of these Terms of Use and comply with them. To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. If you choose, or are provided with, a user name, password, Bitcoin key or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password, Bitcoin key or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. Your individual Bitcoin accounts are your property and your responsibility. Amaano utilizes these Bitcoin accounts only to provide the functionality of a Bitcoin wallet. You are responsible for maintaining adequate security and control of any and all login information, passwords, private Bitcoin keys and any other codes that you use to access the services provided by Amaano. You are solely responsible for properly backing up and storing all of your private keys and pins. We have the right to disable any user name, password, Bitcoin key or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, if, in our opinion, you have violated any provision of these Terms of Use.

Risks

Amaano has no control over, and makes no representations regarding the value of Bitcoins, or the security of the Bitcoin network. The value and liquidity of digital currency has been subject to large fluctuations in the past and may be subject to large fluctuations in the future. Legislative and regulatory changes or actions at the state, federal or international level may adversely affect the use, transfer, exchange and value of digital currency in your jurisdiction. Digital currency is not legal tender, is not backed by the government, and digital currency accounts and value balances are not subject to Federal Deposit Insurance Corporation or Securities Investor Protection Corporation protections. Transactions in digital currencies may be irreversible, and, accordingly, losses due to fraudulent or accidental transactions may not be recoverable. Some digital currency transactions shall be deemed to be made when recorded on a public ledger, which is not necessarily the date or time that you initiate the transaction. The value of digital currencies may be derived from the continued willingness of market participants to exchange traditional bank-backed currency for digital currencies, which may result in the potential for permanent and total loss of value of a particular digital currency should the market for that digital currency disappear. You acknowledge that participation in the Bitcoin network involves risk. A Bitcoin transaction may be unconfirmed for a period of time (usually less than one hour, but up to one day or longer) and may be never complete if it remains in a pending state.

Intellectual Property Rights

The Website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Amaano, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. These Terms of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication or distribution.
  • If we provide desktop, mobile or other Apps for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
  • If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not use such marks without the prior written permission of the Amaano. All other names, logos, product and service names, designs and slogans on this Website are the trademarks of their respective owners.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. The Website may not be used by any person or organization to recruit for another website or service or to solicit, advertise, or contact others for employment, contracting, or any other purposes for a business not affiliated with Amaano, without express written permission from Amaano. You further agree not to use the Website:

  • In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

Indemnification

You agree to defend, indemnify and hold harmless Amaano, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, any use of the Website's content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website.

Governing Law; Jurisdiction; No Class or Representative Action

All matters relating to the Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Ohio without giving effect to any choice or conflict of law provision or rule (whether of the State of Ohio or any other jurisdiction). Subject to the section titled “Mandatory Binding Arbitration†set out below, any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Ohio in each case located in the County of Franklin, although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in the venue of your residence or any other relevant venue. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Further, subject to the section titled “Mandatory Binding Arbitration†set out below, you agree that any dispute arising out of, or related to, these Terms of Use or the Website is personal to you and Amaano, and that any such controversy, claim, suit, injury, harm, loss or damage shall be brought on an individual basis, and shall not be consolidated with any controversy, claim, suit, injury, harm, loss or damage of any other party. However, this representative action waiver may be severed if it would otherwise render these Terms of Use unenforceable.

Mandatory Binding Arbitration

Any and all disputes arising from these Terms of Use or the use of the Website must be submitted to final and binding arbitration under the Commercial Rules of Arbitration and Arbitration Procedures of the American Arbitration Association (“AAAâ€) applying Ohio law.  The rules and procedures can be obtained at any AAA office, at www.adr.org, or by calling the AAA at 1-800-778-7879 . If there is any inconsistency between the AAA Rules andthis arbitration provision, the terms of this arbitration provision will control unless the arbitrator determines that the application of the inconsistent terms would result in a fundamentally unfair arbitration. The arbitration shall be conducted in Franklin County, Ohio, and judgment of the arbitration award may be entered by any court having jurisdiction thereof. Amaano may seek any interim or preliminary relief from a court of competent jurisdiction in Franklin County, Ohio, necessary to protect its rights pending the completion of arbitration. You agree to submit yourself to the personal jurisdiction of the State of Ohio. Arbitration shall be conducted before a single arbitrator mutually chosen by Amaano and you from a list provided by the AAA. However, if Amaano and you fail to agree on the selection of the arbitrator within 30 days after the date of the filing of the arbitration case, the AAA will select the arbitrator. Except as set forth herein, both you and Amaano expressly waive entitlement, if any, to have any controversy, claim, suit, injury, harm, loss or damage heard before a court or a jury. The arbitrator will base the decision on the evidence presented and in accordance with these Terms of Use and governing law, including statutory and judicial authority. The arbitrator can award the same damages and relief on an individual basis that a court can award to an individual under these Terms of Use and applicable law. The arbitrator will issue a written decision, which will contain the essential findings and conclusions on which the decision is based. The arbitrator’s decision will be final and binding upon all parties. Any such controversy, claim, suit, injury, harm, loss or damage shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any controversy, claim, suit, injury, harm, loss or damage of any other party. However, this representative action waiver may be severed if it would otherwise render these Terms of Use or this arbitration provision unenforceable. Notwithstanding anything to the contrary, disputes may be brought before an administrative agency to the extent applicable law requires access to an agency notwithstanding the existence of this arbitration provision. Nothing in this arbitration provision shall be construed to: (i) relieve any party of the duty to exhaust administrative remedies by filing a charge or complaint with an administrative agency and obtaining a right to sue notice, where otherwise required by law; or (ii) prevent either party from cooperating with a federal or state body as required by law. You understand that you are not entitled to a double recovery or eligible to receive any monetary benefit from any action brought by an administrative agency except as required by law. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by Amaano of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Amaano to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use and Privacy Policy constitute the sole and entire agreement between you and Amaano with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.

Security

Your individual Bitcoin accounts are your property and your responsibility. Amaano utilizes these Bitcoin accounts only to provide the functionality of a Bitcoin wallet. You are responsible for maintaining adequate security and control of any and all login information, passwords, private Bitcoin keys and any other codes that you use to access the services provided by Amaano. You are solely responsible for properly backing up and storing all of your private keys and pins.

Consent to Electronic Delivery

You consent to receive electronically all communications, agreements, documents, receipts, notices, and disclosures (collectively, “Communicationsâ€) that Amaano provides in connection with your Amaano Account, Wallet, and/or use of the Website. You agree that Amaano may provide these Communications to you by posting them via the Website, by emailing them to you at the email address you provide, and/or by sending an SMS or text message to a mobile phone number that you provide. Your carrier's normal, messaging, data, and other rates and fees may apply to any mobile Communications. You should maintain copies of electronic Communications by printing a paper copy or saving an electronic copy. You may also contact Amaano at hello@amaano.com to request additional electronic copies of Communications or, for a fee, paper copies of Communications.

Updating Your Contact Information

It is your responsibility to keep an updated e-mail address and phone number on file with Amaano in the event that Amaano must send you any Communications. In the event that Amaano sends you any Communications regarding the Website, your Amaano Account or your Amaano Wallet, and you are unable to receive such Communications because, your e-mail address and/or phone number is incorrect or out of date, your service provider has blocked incoming messages, or you are otherwise unable to receive any Communications for any reason, such Communications will be considered provided to you. Please note that if you use a spam filter that blocks or re-routes emails from senders not listed in your email contacts, you must add Amaano to your contacts in order to ensure that you receive all Communications. You can update your contact information on file with Amaano at any time by logging into your Amaano Account or by sending such information to hello@amaano.com. If your e-mail address or phone number becomes invalid, such that any Communications are returned, Amaano may consider your account to be inactive, and may suspend your ability to complete transactions via Amaano’s Website until you update your contact information.
